1. Agreement and Eligibility
These Terms of Service ("Terms") govern your access to and use of Spectrace's products, websites, APIs, and related services (collectively, the "Services"). By using the Services, you agree to be bound by these Terms.
You represent that you are at least the age of majority in your jurisdiction and have authority to enter into these Terms on behalf of yourself or the organization you represent.
2. Account Registration and Security
You are responsible for maintaining accurate account information and safeguarding your credentials. You must promptly notify us of any unauthorized account activity.
You are responsible for all actions taken through your account, including actions by authorized users in your workspace.
3. Use of the Services
You may use the Services only in compliance with applicable law and these Terms. You must not: (a) reverse engineer or attempt to extract source code except where prohibited by law, (b) interfere with the Services' integrity or security, (c) upload malicious code, or (d) use the Services to violate others' rights.
We may suspend or limit access if use creates security, legal, or operational risk.
4. Customer Data and AI Features
You retain ownership of data and materials you submit to the Services ("Customer Data"). You grant Spectrace a limited license to process Customer Data solely to provide, maintain, secure, and improve the Services.
AI-generated outputs may contain errors, omissions, or outdated information. You are responsible for review and validation before relying on outputs in production, compliance, or safety-critical workflows.
5. Intellectual Property
The Services, including software, UI, trademarks, and documentation, are owned by Spectrace and its licensors and are protected by intellectual property laws.
Except for rights expressly granted in these Terms, no rights are transferred to you.
6. Billing, Plans, and Changes
Paid features may require a subscription. Fees, billing cycles, and included usage are shown at purchase or in your workspace settings. Unless otherwise stated, fees are non-refundable.
We may change pricing or packaging with reasonable prior notice. Continued use after an effective date constitutes acceptance of updated pricing.
7. Third-Party Services
The Services may integrate with third-party providers (for example, source control, issue tracking, or authentication providers). Your use of those providers is governed by their terms and policies.
Spectrace is not responsible for third-party systems, outages, data practices, or content.
8. Confidentiality
Each party may receive non-public information from the other. The receiving party must use reasonable safeguards and may use such information only for purposes related to the Services.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECTRACE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECTRACE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
SPECTRACE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SPECTRACE FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
11. Termination
You may stop using the Services at any time. We may suspend or terminate access for material breach, legal requirements, or security risk. Sections that by nature should survive termination will survive, including payment obligations, disclaimers, and limitation of liability.
12. Changes to These Terms
We may update these Terms periodically. If we make material changes, we will provide notice through the Services or by other reasonable means. Continued use after updates become effective means you accept the revised Terms.
